1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the website and services provided by Business Together Limited (company registration number 9593738), trading as BTLITC (“we”, “us”, or “our”). Our registered office is at Oak House, Central Park, Reeds Crescent, Watford, WD24 4QN.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not use our website or services.

We reserve the right to amend these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services following any amendments constitutes your acceptance of the revised Terms.

2. Services Description

BTLITC provides professional information technology services, including but not limited to:

  • IT Consulting: strategic technology advisory, infrastructure planning, and digital transformation consultancy
  • Cybersecurity: threat assessment, vulnerability management, security audits, and compliance frameworks
  • Cloud Solutions: cloud migration, managed cloud services, and hybrid infrastructure management across platforms including Azure and AWS
  • AI Solutions: artificial intelligence consulting, machine learning implementation, and intelligent automation

The specific scope, deliverables, timelines, and fees for any engagement shall be set out in a separate statement of work, proposal, or service agreement between you and BTLITC.

3. Client Obligations

When engaging our services, you agree to:

  • Provide accurate, complete, and timely information necessary for us to deliver the agreed services
  • Ensure that you have the necessary rights, permissions, and licences for any materials, data, or systems you provide to us
  • Cooperate with our team and provide reasonable access to personnel, systems, and facilities as required for service delivery
  • Comply with all applicable laws and regulations in connection with the use of our services
  • Promptly notify us of any changes in requirements, circumstances, or issues that may affect the delivery of services
  • Not use our services for any unlawful, harmful, or fraudulent purpose

4. Intellectual Property

All intellectual property rights in our website, branding, proprietary tools, methodologies, and pre-existing materials remain the property of Business Together Limited. Nothing in these Terms transfers ownership of our intellectual property to you.

Unless otherwise agreed in writing, intellectual property in bespoke deliverables created specifically for you during a project engagement shall transfer to you upon full payment of all applicable fees. We retain the right to use general knowledge, skills, experience, and techniques gained during any engagement.

You grant us a non-exclusive, royalty-free licence to use any materials you provide to us solely for the purpose of delivering the agreed services.

5. Confidentiality

Both parties agree to keep confidential all information received from the other party that is marked as confidential or that would reasonably be considered confidential given the nature of the information and the circumstances of disclosure.

Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except:

  • To employees, contractors, or advisers who need access to the information for the performance of the services, provided they are bound by equivalent confidentiality obligations
  • Where disclosure is required by law, regulation, or court order
  • Where the information is already publicly available through no fault of the receiving party

These confidentiality obligations shall survive the termination of any service agreement for a period of three years.

6. Limitation of Liability

To the fullest extent permitted by law, Business Together Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of our website or services.

Our total aggregate liability in respect of any claims arising from or in connection with a particular engagement shall not exceed the total fees paid by you for the specific services giving rise to the claim in the twelve months preceding the event.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

7. Payment Terms

Fees for our services shall be as set out in the applicable proposal, statement of work, or service agreement. Unless otherwise agreed:

  • Invoices are payable within 30 days of the invoice date
  • All fees are quoted exclusive of VAT, which shall be charged at the prevailing rate where applicable (VAT number: 306383317)
  • Late payments may incur interest at the rate of 4% above the Bank of England base rate, calculated on a daily basis from the due date until the date of actual payment
  • We reserve the right to suspend services if invoices remain unpaid beyond the agreed payment terms

8. Termination

Either party may terminate a service engagement by providing written notice in accordance with the terms of the applicable service agreement. In the absence of specific termination provisions, either party may terminate by providing 30 days written notice.

We may terminate or suspend your access to our website or services immediately, without prior notice, if:

  • You breach any provision of these Terms
  • You fail to make payment within the agreed timeframes
  • We reasonably believe that continued provision of services would be unlawful or detrimental to our business

Upon termination, you shall pay for all services delivered up to the date of termination. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

9. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

10. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or any services provided, the parties agree to first attempt to resolve the matter through good-faith negotiation.

If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. If mediation fails, the dispute may be referred to the courts of England and Wales.
